Draft pending review by legal counsel. These terms describe how LatamConnect intends to operate and are subject to change.
1. What LatamConnect is
LatamConnect operates an online directory of Latin American manufacturers and facilitates introductions between them and prospective buyers. LatamConnect is an information and introduction service only. We are not a manufacturer, distributor, importer, exporter, freight forwarder, customs broker, sales agent, or party to any purchase agreement between a buyer and a manufacturer.
2. What LatamConnect does and does not verify
Manufacturer profiles are based on information supplied by the manufacturers themselves. As part of onboarding, LatamConnect reviews documents that support the manufacturer's legal existence (such as incorporation certificates, tax identification, and related corporate records). Unless expressly requested and agreed at the start of a specific negotiation, LatamConnect does not verify production capacity, certifications, financial standing, export history, references, or project claims. A listing on LatamConnect is not a warranty, endorsement, or recommendation of any manufacturer or product.
3. No warranties
The site and all content are provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or that any listing information is complete or current.
4. Buyer due diligence
Buyers are solely responsible for their own due diligence before entering into any transaction. This includes, but is not limited to: verifying the manufacturer's legal existence and identity directly with public registries; confirming that certifications are valid and current directly with the issuing bodies; requesting samples, test reports, and factory audits; checking references, export history, and financial standing; confirming regulatory compliance for the destination market; and negotiating written contractual terms, payment protection, inspection clauses, and dispute-resolution mechanisms. LatamConnect does not conduct this due diligence for you. Optional additional verification may be requested when a negotiation begins, but it does not replace your own independent due diligence.
5. Limitation of liability
To the maximum extent permitted by law, LatamConnect and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, or loss of data, arising out of or related to the site, any listing, or any transaction between a buyer and a manufacturer. Our aggregate liability for any claim will not exceed the greater of the amounts you paid to LatamConnect in the twelve months preceding the claim, or one hundred U.S. dollars.
6. Indemnification
Manufacturers listed in the directory agree to indemnify and hold LatamConnect harmless from claims arising out of inaccurate, outdated, or misleading information they supplied, from expired or invalid certifications they represented as current, and from their own performance or non-performance under any contract with a buyer.
7. Sponsored content
Listings marked "Sponsored" are paid advertising placements. Paid placement does not imply an endorsement, recommendation, or verification of the advertiser's products or services by LatamConnect.
8. Acceptable use and intellectual property
You may not scrape, resell, or republish directory content, misrepresent your identity, or use the site to send unsolicited commercial communications. All site content, trademarks, and design elements belong to LatamConnect or its licensors. Manufacturer names, logos, and certification marks belong to their respective owners and are displayed with permission of the listed manufacturer.
9. Suspension and removal
We may modify, suspend, or remove any listing, badge, or account at any time, including when information is inaccurate, when a manufacturer stops responding to our requests, or when a listing no longer meets our content standards.
10. Governing law and venue
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Florida, and both parties consent to personal jurisdiction there.
11. Changes to these terms
We may update these terms. Continued use of the site after an update constitutes acceptance of the revised terms. The date at the top of this page indicates the latest revision.
